Terms of Service

1. Acceptance of Terms

By accessing and using the iFCEM Platform ("Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms constitute a legally binding agreement between you and DatamPowered Pvt Ltd regarding your use of the iFCEM Platform.

2. Description of Service

The iFCEM Platform is a contemporary workspace platform that provides:

• Intelligent data analysis and visualization tools
• Workflow automation capabilities
• AI-powered collaboration features with context-aware assistants
• Data management and storage solutions
• Team collaboration and workspace management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. User Accounts

3.1 Account Registration

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 13 years old to use the Platform. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion, with or without notice, for violation of these Terms or for any other reason.

4. Beta Program

If you participate in our beta program, you acknowledge and agree that:

• The Platform may contain bugs, errors, and other problems that could cause system failures or data loss
• Features and functionality are subject to change without notice
• The Platform is provided "as is" during the beta period without warranties of any kind
• You will provide feedback and report issues to help improve the Platform
• All feedback, suggestions, and ideas become our property
• Additional NDA terms may apply to confidential information

5. Acceptable Use Policy

You agree not to use the Platform to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Platform or related systems
• Interfere with or disrupt the Platform's operation
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use automated means to access the Platform without our permission
• Impersonate others or provide false information
• Harass, abuse, or harm other users
• Upload illegal, offensive, or infringing content
• Use the Platform for competitive analysis or benchmarking

6. User Content

6.1 Ownership

You retain all ownership rights to content you upload, create, or store on the Platform ("User Content"). You grant us a limited license to use, store, and process your User Content solely to provide and improve the Service.

6.2 Responsibility

You are solely responsible for your User Content and the consequences of uploading or publishing it. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any laws or third-party rights
• Your User Content does not contain confidential information of third parties

6.3 AI Processing

By using AI features, you acknowledge that your User Content may be processed by AI models (including Amazon Bedrock services) to provide analysis, insights, and assistance. We do not use your User Content to train public AI models.

7. Intellectual Property

7.1 Platform Ownership

The Platform, including its design, code, features, and content (excluding User Content), is owned by DatamPowered Pvt Ltd and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your personal or internal business purposes, subject to these Terms.

7.3 Trademarks

"iFCEM", the iFCEM logo, and other marks are trademarks of DatamPowered Pvt Ltd. You may not use these trademarks without our prior written permission.

8. Fees and Payment

8.1 Beta Pricing

During the beta period, the Platform may be offered free of charge or at discounted rates. We reserve the right to introduce fees or change pricing at any time.

8.2 Future Pricing

If we introduce paid subscriptions, you will be notified in advance. Continued use of paid features constitutes acceptance of the applicable fees.

8.3 Payment Terms

For paid services:

• Fees are billed in advance on a subscription basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method automatically
• You are responsible for all applicable taxes

9. Data and Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. Third-Party Services

The Platform may integrate with or link to third-party services (e.g., AWS, Amazon Bedrock). Your use of third-party services is subject to their respective terms and conditions. We are not responsible for third-party services or their content.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Platform will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of results or information
• Warranties that defects will be corrected

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAMPOWERED PVT LTD SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute services
• Damages arising from your use or inability to use the Platform

Our total liability for all claims related to the Platform shall not exceed the amount you paid us in the twelve months preceding the claim, or $100 USD if no fees were paid.

13. Indemnification

You agree to indemnify, defend, and hold harmless DatamPowered Pvt Ltd, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your User Content
• Your violation of these Terms
• Your violation of any laws or third-party rights

14. Termination

14.1 By You

You may terminate your account at any time by following the account deletion process in your settings.

14.2 By Us

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, effective immediately.

14.3 Effect of Termination

Upon termination:

• Your right to use the Platform immediately ceases
• We may delete your User Content and account data
• Provisions that should survive termination will remain in effect

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal claim, you agree to contact us at legal@ifcem.com.au to attempt to resolve the dispute informally.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

15.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Sydney, Australia for the resolution of any disputes.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Platform.

16.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform. Your continued use after changes constitutes acceptance of the modified Terms.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.6 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
